These Terms of Service govern the use of the website at www.neoxbi.lol and the reporting services provided by NeoX Business Intelligence Limited. By reading the site, submitting an enquiry or engaging the studio, a visitor or client agrees to the terms set out below. The terms are written in plain English and should be read together with the Privacy Policy, which explains how personal data is handled. The company works from Rm 704 7/F NEW MANDARIN PLZ TWR A, 14 SCIENCE MUSEUM RD, Hong Kong (HK) and can be reached at hello@neoxbi.lol or on +14057833811.
1. Acceptance of Terms
These terms form a binding agreement between NeoX Business Intelligence Limited and each person who uses the website or engages the studio. A visitor accepts the terms by continuing to browse the site, and a client accepts the terms by signing a proposal, paying an invoice or instructing the studio to begin work.
A person who does not agree with any part of these terms should stop using the website and should not engage the studio. Where a signed client agreement contains terms that conflict with this document, the signed agreement takes precedence for that engagement, and these terms apply only to the extent they are not displaced.
2. Definitions
In these terms, the company means NeoX Business Intelligence Limited, and the studio means the same organisation acting in its professional capacity. The website means the pages served at www.neoxbi.lol. A client means a person or organisation that engages the studio for a reporting service. Deliverables means the dashboard walls, KPI libraries, pipeline reports, workshops, health checks, board packs and any other materials produced for a client. Confidential information means any non public information shared during an engagement.
The phrase written agreement means a proposal, statement of work, email confirmation or signed contract that sets the scope, the fees and the dates for an engagement. Where a term is used in the plural, it includes the singular, and where a term is used in the singular, it includes the plural.
3. Our Services
NeoX Business Intelligence Limited provides reporting design and technical services within the field of computer systems design and related professional work. The services listed on the website are Dashboard Wall Builds, KPI Library Setup, Data Pipeline Reviews, Chart Loom Workshops, Metric Health Checks and Board Pack Preparation. The description of each service on the website is an overview, not a fixed promise of a particular outcome.
The studio may add, change or withdraw a service at any time. A change does not affect an engagement that has already been agreed in writing, unless both parties agree to the change. The studio is not obliged to accept every request, and it may decline work that falls outside its expertise or that would create a conflict with an existing client.
4. How an Engagement Begins
An engagement begins when the scope, the fees and the timing have been agreed in writing and any required deposit has been received. A conversation, an email enquiry or an exchange of draft documents does not create a binding engagement on its own.
The written agreement records the work to be done, the people involved, the information the client will provide, the review points and the payment schedule. It also records the rules for changing the scope, so that additional work is agreed before it is done rather than negotiated after it is delivered. Where the agreement is silent on a point, these terms apply.
5. Client Responsibilities
A reporting project depends on timely access to the right information. The client agrees to provide accurate descriptions of its data sources, to nominate a decision maker who can approve definitions and layouts, and to respond to review requests within a reasonable time.
The client is responsible for the lawful basis on which it holds and shares data with the studio, for the accuracy of the records it supplies, and for any consent needed from individuals whose data appears in a project. The client also agrees not to ask the studio to process data in a way that would breach applicable law.
Where a delay caused by the client affects a milestone, the studio may adjust the schedule, and any cost caused by the delay may be charged at the agreed rate. The studio will explain the reason for the adjustment in writing before the charge is applied.
6. Fees and Payment
Fees are set out in the written agreement and may be charged as a fixed project fee, a day rate or a monthly retainer. Unless the agreement states otherwise, a deposit is due before work starts and the balance is due on delivery or at the milestones listed in the agreement.
Invoices are payable within the period stated on the invoice. Amounts that remain unpaid after that period may attract a late charge at the rate allowed by law, and the studio may pause work while an overdue invoice is outstanding. A pause does not remove the obligation to pay for work already completed.
Fees are exclusive of any tax that applies in the relevant jurisdiction, and the client is responsible for any such tax that is properly due. Expenses such as travel or third party licences are charged only where the agreement permits them, and they are itemised on the invoice.
7. Deliverables and Acceptance
Each deliverable is presented for review at the end of its cycle. The client has a stated period, set in the agreement, to accept the deliverable or to list the specific changes needed. A deliverable is treated as accepted when the client confirms acceptance in writing, uses it in live operations, or allows the review period to pass without comment.
Changes requested before acceptance are included within the agreed scope. Changes requested after acceptance, or changes that add new sources, panels or metrics, are treated as additional work and are quoted separately. The studio will not begin additional work without written approval.
Where a deliverable depends on a third party system that the client controls, acceptance of the design does not guarantee the behaviour of that system. The studio will document the dependency and will help to test the integration, but responsibility for the third party system remains with the client or its provider.
8. Ownership of Materials
On full payment of the fees for an engagement, the client receives ownership of the specific deliverables created for that engagement, including the dashboard layouts, the KPI definitions and the written reports. The studio keeps ownership of its pre existing methods, templates, libraries and general know how, and grants the client a licence to use those elements as part of the deliverables.
The studio may describe the general nature of the work in a portfolio, provided that no confidential information and no client data are disclosed. The client may ask the studio not to name the client in a portfolio, and the studio will respect that request.
Third party software, fonts and data sets remain the property of their owners and are used under the licence attached to each item. The client is responsible for complying with those licences after the handover.
9. Licence to Use This Website
The studio grants each visitor a limited, non exclusive licence to read the pages of the website and to print or save a copy for personal reference. The licence does not permit the visitor to copy large parts of the site for commercial use, to resell the content, or to present the material as the work of another organisation.
A visitor agrees not to interfere with the operation of the site, not to attempt to gain access to areas that are not public, and not to use automated tools in a way that places an unreasonable load on the server. Any breach of this section may lead to the visitor being blocked from the site.
10. Confidentiality
Each party agrees to keep the confidential information of the other party private. Confidential information includes data sources, definitions, financial figures, business plans and any document marked as private. It does not include information that is already public, that was known before the engagement, or that is received from a third party without a duty of confidence.
Confidential information is used only for the purpose of the engagement and is shared only with the people who need it. Where a party is required by law to disclose confidential information, it will, where lawful, tell the other party first so that a protective step can be considered. The duty of confidence survives the end of the engagement.
11. Third Party Services
A reporting engagement often relies on third party platforms such as a database engine, a business intelligence tool or a cloud storage service. The studio does not control those platforms and cannot guarantee their availability, their accuracy or the way they change over time.
Where a third party platform changes its terms, its pricing or its features in a way that affects a deliverable, the studio will notify the client and will propose a reasonable adjustment. Any additional work needed to respond to the change is quoted under the same process that applies to other additional work.
12. Warranties and Disclaimers
The studio will carry out its services with reasonable skill and care, using people who are competent for the tasks assigned to them. The studio will follow the written scope and will correct any defect within the agreed scope at no additional charge when the defect is reported within the review period.
Beyond that, the website and the services are provided as they stand. The studio does not promise that the website will be free of errors at all times, that every figure in a client system is accurate, or that a reporting outcome will produce a particular business result. The client is responsible for the decisions it takes from the reports.
The content of the website is general information about reporting practice. It is not legal, tax or financial advice, and it should not be relied on as a substitute for professional advice tailored to a specific situation.
13. Limitation of Liability
To the extent permitted by law, the total liability of NeoX Business Intelligence Limited under an engagement is limited to the total fees paid by the client for that engagement. The studio is not liable for indirect or consequential loss, for lost profits, for lost business opportunity or for damage caused by a third party system that the studio does not control.
Nothing in these terms excludes liability for fraud, for wilful misconduct or for any liability that cannot be limited by law. Where a limitation is not permitted in a particular jurisdiction, that limitation will be reduced to the minimum level the law allows rather than being removed entirely.
14. Indemnity
The client agrees to cover the studio against any claim, loss or cost that arises from data supplied by the client, from the way the client uses a deliverable, or from a breach by the client of these terms. This covers legal costs that are reasonably incurred in defending a claim, provided that the studio tells the client promptly and allows the client to take part in the defence.
The studio will not settle a claim in a way that admits fault on the part of the client without that client consent, and the client will not settle a claim in a way that harms the reputation of the studio without the studio consent.
15. Termination
Either party may end an engagement by giving written notice in the manner set out in the agreement. Where no notice period is stated, thirty days of written notice applies. Fees for work completed up to the end of the notice period remain payable, and any deposit is applied against those fees.
Either party may end the engagement immediately where the other party commits a material breach that is not corrected within a stated period after written notice, or where the other party becomes insolvent. On termination the studio will return or delete client data according to the instructions in the agreement, and the duty of confidentiality continues.
16. Force Majeure
Neither party is liable for a delay or a failure to perform that is caused by an event outside its reasonable control. Such events include severe weather, natural disaster, public health emergency, power failure, network outage, civil disruption and a change in law.
The affected party will notify the other party as soon as it is practical and will take reasonable steps to reduce the effect of the event. Where the event continues for an extended period, either party may end the engagement by written notice, and the fees for work already completed remain payable.
17. Governing Law
These terms are governed by the laws of Hong Kong. The parties agree to submit to the exclusive jurisdiction of the courts of Hong Kong for any dispute that cannot be resolved by discussion. Before starting a formal claim, the parties will make a genuine effort to settle the matter through a written exchange and, where appropriate, a short mediation.
If a provision of these terms is found to be invalid, the remaining provisions continue in full force. A failure to enforce a provision on one occasion does not waive the right to enforce it later. These terms are written in English, and any translation is provided for convenience only.
18. Changes to These Terms
The studio may update these terms to reflect a change in the way it works or a change in the law. The current version is always the one published on this page, and the date of the version is shown at the foot of the page. A change applies to work agreed after the change takes effect, unless both parties agree otherwise in writing.
A client who continues to use the website or who continues an engagement after an update is treated as having accepted the new version. Where a change is material to a live engagement, the studio will raise it directly with the client before the change is applied to that engagement.
19. Use of Information Published on the Website
The pages of the website describe a working method for reporting design. A reader may use the ideas for internal planning, but the text, the layout and the written guidance remain the work of the studio. A reader who wishes to quote a passage in a publication should ask for permission first and should credit NeoX Business Intelligence Limited.
Figures used in sample reports and illustrations on the website are illustrative only. They do not describe the results of any named client, and they should not be read as a promise that a similar result will follow from a similar engagement. Every reporting estate is different, and the outcome depends on the quality of the underlying data as much as on the design.
20. Website Availability and Maintenance
The studio aims to keep the website available at all times, but it does not promise uninterrupted access. The site may be taken offline for maintenance, for a security update or for a change in the hosting arrangement. Where a planned interruption is expected to last more than a short period, the studio will post a notice on the homepage in advance.
The studio is not responsible for a failure that is caused by the network of the visitor, by a browser that is out of date, or by a block applied by the provider of the visitor. A visitor who meets a fault is welcome to report it to hello@neoxbi.lol so that it can be checked and fixed.
21. Complaints and Dispute Resolution
A client who is unhappy with a service should raise the matter in writing as soon as the concern appears. The studio will acknowledge the complaint within a short period, will review the relevant records, and will reply with a proposed resolution. Most concerns can be settled by a conversation about the scope and a small adjustment to the work.
Where a concern cannot be settled directly, the parties will consider mediation with a neutral third party before starting a formal claim. The cost of mediation is shared unless the parties agree otherwise. This process does not remove the right of either party to seek a legal remedy, and it does not extend a time limit that the law imposes.
